PRICE AND AMENDMENTS TO THE ORDER:
Except where otherwise agreed, the price fixed is that EX Works from the factory and includes packaging of the goods. Except where otherwise agreed, the supply of products does not include installation. The Client may alter the order of the goods or services, communicating such to SCREEN2 before the scheduled delivery date, on the condition that the supplier has not already sent the goods. In the case of amendments to the purchase order, the price stated in the present order will be renegotiated between the parties and the delivery date may also be extended by SCREEN2, who will communicate the new delivery date. However, if SCREEN2 has already incurred expenses for the preparation of the goods or services related to the order, they may request the Clients to reimburse such expenses.
DELIVERY AND VERIFICATION OF GOODS:
The delivery time established in the present contract is intended as indicative and not definitive and does not take consideration of strikes, lockouts, fires, picketing or other circumstances outside the control of the client or the supplier which may inhibit the receiving or the delivery of goods. In the case of force majeure (for example purposes including earthquakes, fires, flooding), the delivery date will be postponed by a period corresponding to the duration of the above-stated adverse circumstances. Within 24 hours of delivery of the goods, the supplier may at their discretion communicate to the client the delivery date and the bill of lading. The verification of the goods must be carried out by the client within eight days from receipt. Non-verification or non-communication of such within the above stated period implies acceptance of the goods.
PAYMENT, RESOLUTION, WITHDRAWAL:
In the case in which payment should occur in full or in part after the delivery of the goods, the delay in payment will incur interest in the amounts established by Legislative Decree 231/02. The non-payment within 30 days of the due date of an amount greater than 1/8th of the total price will result in the resolution of the contract: in this case, the amount paid will be held by SCREEN2 as rental of the goods, expenses and compensation for damage, while SCREEN2 retains the right of compensation for any greater damage incurred. In the case in which circumstances occur rendering the Client unable to ensure discharge of their commitments, as in the case of bankruptcy, admittance to examination, liquidation or the discontinuation of business activities, SCREEN2 reserves the right to withdraw from the contract through simple written communication, with the client having no right to indemnity, compensation or repayments.
GUARANTEES:
The supplier guarantees that the goods supplied possess the characteristics indicated in the technical data sheet and that such are free from defects for a duration of 12 months from delivery, with the exclusion of the plant parts and/or electric/electronic equipment which is not produced or installed by the Supplier, caused by normal use or damaged by any movements by the Purchaser or on their behalf. During the guarantee period, the Supplier commits to replace or repair free of charge the product or the parts which are defective at origin; the transport costs remain the responsibility of the Purchaser. Any defective components or products replaced under guarantee must be delivered to the Supplier at their request. Outside the period indicated above, the guarantee expires and assistance will incur charges for the parts replaced, the labor and the transport of materials. The present guarantee does not cover defects or damages caused following incorrect, neglectful or improper use, incorrect installation or maintenance, following the forced suspension of use, improper transport or caused by repair, replacement, or maintenance carried out by parties not authorized by the Supplier, tampering, or conflicts with other equipment which is connected to the product, or any circumstances independent of the Supplier. The present guarantee does not cover defects caused by the Purchaser having not observed the instructions supplied by the Supplier (or covered in the maintenance and user manuals if supplied). The Supplier is not responsible for any damage, direct or indirect, caused to persons or property by breakdown of the equipment or forced suspension of use of such equipment.
